INKOPOLIS DESIGN SERVICE
Policies & Terms
Important information about orders, artwork, print production, design and digital services, payments, privacy, website use, and your relationship with Inkopolis Design Service (“IDS,” “we,” “our,” or “us”).
General Terms
These Policies & Terms are entered into by and between you and Inkopolis Design Service, Inc. (“Inkopolis Design Service,” “IDS,” “we,” “our,” or “us”). They govern orders placed with IDS and your use of our printing, graphic design, website design, creative digital services, website, ordering tools, upload tools, and related services.
Please read these Terms carefully before placing an order or using IDS services. By placing an order, approving a proof, submitting artwork or project materials, making a payment, or using our website or services, you agree to these Terms and to any applicable project-specific written terms. Privacy matters are addressed in greater detail in our separate Privacy Policy.
Do not place an order, submit project materials, or use IDS services.
Our online ordering and account features are intended for users who are at least 18 years old and legally able to enter into a binding agreement.
ORDERS & PRODUCTION
Orders, Proofs, Refunds & Reprints
Refund & Reprint Policy
We offer a limited refund/reprint policy. All orders that purchase art services will be provided an art proof. We urge you to check proofs very carefully before returning an approval. To be eligible for a refund or reprint, printed material must differ from the final art proof you approved.
No refunds or reprints will be granted for artwork submitted through our portal and designated as “print-ready.” If we find a mistake, we will notify you, but we will not change your artwork without your written permission.
We make every effort to make sure your order is correct, but you are responsible for proofreading all text, punctuation, phone numbers, addresses, and other content.
We encourage you to keep your finalized and approved art proofs for future use. We save art files for an extended period, but file loss can occasionally occur. Keeping your proofs may also help avoid future art fees.
Order Acceptance & Cancellation
Your order is an offer to buy the products and services listed in your order under these Terms. All orders must be accepted by IDS before we are obligated to provide the products or services. We may choose not to accept an order at our discretion, even after sending an order confirmation.
Prices & Payment
Prices, discounts, and promotions are subject to change without notice. The price charged will be the price in effect when the order is placed. Taxes and applicable charges may be added at checkout. We reserve the right to correct pricing, availability, typographical, or other errors and to cancel orders arising from such errors.
Payment must be received before we accept an order. You represent that payment information supplied by you is accurate and that you are authorized to use the payment method provided.
Shipping
Shipping and handling fees appear in your shopping cart. IDS is not liable for submissions or other materials while in transit through or in possession of the United States Postal Service, United Parcel Service, Federal Express, or another carrier. Risk of loss and title for materials sent by IDS to you passes to you upon our delivery to the carrier.
Taxes & Year-End Statements
Applicable sales taxes will be collected during checkout. IDS does not supply end-of-year account summaries. Please keep your receipts if you intend to use purchases as expenses on tax filings.
CONTENT & ARTWORK
Right to Refuse Work
Decency Policy
IDS respects freedom of expression and recognizes that customers may hold a wide range of viewpoints. As a private business, however, we reserve the right to decline work that we determine is inflammatory, derogatory, unlawful, obscene, threatening, or otherwise inconsistent with our business standards. If you have paid for an order and we decline the artwork under this policy, we will cancel the affected order and refund the payment for that order.
Political Marketing Products
We reserve the right to refuse or request alterations to political material that we determine violates our Decency Policy. We ask customers not to provide inaccurate or defamatory content; however, we do not fact-check customer material and are not responsible for content provided by customers.
PRIVACY & ACCOUNTS
Your Information & Account Security
Privacy
IDS uses customer information as reasonably necessary to fulfill orders, provide design and digital services, maintain customer accounts, communicate about projects, and send marketing communications where permitted. We do not sell customer information. IDS is never in possession of your payment-card information; payment processing is handled by third-party payment providers.
Our separate Privacy Policy provides additional information about data collection, cookies, analytics, retention, third-party services, marketing choices, and other privacy practices. If there is a conflict between this summary and the Privacy Policy, the Privacy Policy controls with respect to privacy matters.
Account Security
You are responsible for providing correct, current, and complete registration information and for keeping usernames, passwords, and other security information confidential. Your account is personal to you. Notify IDS promptly of unauthorized access or other security breaches and use appropriate caution on public or shared devices.
We may disable usernames, passwords, or other identifiers at our discretion, including when we believe these Terms have been violated.
PRINT, DESIGN & DIGITAL SERVICES
Using IDS Services
Changes to These Terms & the Service
We may revise these Terms from time to time. Changes become effective when posted and apply to subsequent orders and use of IDS services. We may also add, modify, suspend, or discontinue products, production methods, website features, design services, or digital services when reasonably necessary.
Customer Information & Accounts
You are responsible for providing accurate, current information and for safeguarding any account credentials associated with IDS. We may restrict or disable access when reasonably necessary for security, suspected misuse, or violation of these Terms.
Print Production
Printed products are manufactured from the files and proofs approved for production. Customers are responsible for reviewing spelling, punctuation, contact information, layout, dimensions, image placement, and other content before approval. Production methods, substrates, coatings, finishing processes, and equipment may create reasonable manufacturing variation.
Creative & Digital Services
IDS may provide graphic design, website design, website-related work, and other creative or digital services. Project scope, deliverables, revisions, schedules, third-party costs, and ownership or licensing terms may also be stated in a quote, proposal, invoice, proof, project agreement, or other written project documentation. Those project-specific terms supplement these general Terms.
Intellectual Property & IDS Materials
The IDS website, branding, original site content, templates, graphics, designs, and other materials created and owned by IDS are protected by applicable intellectual-property laws. Except as expressly authorized, IDS-owned materials may not be copied, republished, distributed, sold, or used to create derivative works.
Nothing in these Terms transfers ownership of IDS intellectual property to a customer. Rights in custom creative or digital work produced for a customer will be governed by the applicable quote, proposal, invoice, project agreement, or other written terms for that project.
Trademarks
The Inkopolis Design Service name, IDS name and logos, and related product and service names, designs, and slogans are trademarks or other protected identifiers of IDS or their respective owners. They may not be used in a manner that falsely suggests affiliation, approval, or endorsement.
Prohibited Uses
You may not use the IDS website, ordering systems, upload tools, or digital services for unlawful purposes; to interfere with their operation or security; to gain unauthorized access to systems or accounts; to introduce malicious code; to impersonate another person or business; or to submit material that you do not have the legal right to reproduce, publish, display, or otherwise use.
CUSTOMER ARTWORK & FILES
Artwork Submissions
Customers may provide IDS with artwork, logos, photographs, text, fonts, data, website content, and other files needed to produce an order or complete a design or digital project. You retain ownership of the materials you submit.
By submitting materials to IDS, you grant IDS and the production or technology providers reasonably necessary to complete your project a limited, non-exclusive permission to copy, process, modify for production or technical purposes, transmit, display for proofing, and otherwise use those materials only as reasonably necessary to quote, proof, produce, deliver, support, or administer your order or project. This permission does not transfer ownership of your artwork to IDS and does not give IDS a general right to sell or independently commercialize your customer-supplied materials.
You represent that you own the submitted materials or have sufficient permission, license, or other legal authority for IDS to reproduce and use them as required for your order or project. You are responsible for the legality, accuracy, and content of materials you provide.
IDS may retain production files, proofs, backups, or project files for a reasonable business period, but we do not guarantee permanent archival storage. Customers should retain copies of their final artwork, proofs, website assets, credentials, and other important project materials.
Artwork We May Decline
IDS may refuse, suspend, or cancel work involving material that we reasonably believe is unlawful, infringing, defamatory, obscene, threatening, fraudulent, malicious, or otherwise prohibited by these Terms or our Decency Policy. We may also request evidence of permission to reproduce copyrighted, trademarked, licensed, or otherwise protected material.
IDS is not required to independently investigate or verify ownership, factual accuracy, or legal rights in every customer submission. The customer remains responsible for obtaining the permissions needed for submitted material.
WEBSITE & THIRD-PARTY SERVICES
Online Information & Service Providers
Website Information
Information on the IDS website is provided for general informational and ordering purposes. We make reasonable efforts to keep product and service information accurate, but specifications, availability, pricing, turnaround estimates, and other information may change or occasionally contain errors.
Third-Party Providers
IDS may use third-party providers for services such as payment processing, shipping, hosting, domains, email, analytics, website functionality, cloud storage, printing, production, or other project requirements. Those providers may have their own terms, policies, availability, and technical limitations.
Third-Party Links
The IDS website may link to third-party websites or resources for convenience. IDS does not control those sites and is not responsible for their content, availability, security, or practices. Your use of third-party services is subject to the applicable provider's terms and policies.
Customer-Selected Services
For website design or digital projects, customers may request or authorize use of third-party platforms, plugins, themes, fonts, stock assets, hosting, domain services, or other technology. Unless expressly included in writing, ongoing third-party fees, subscriptions, renewals, licenses, and account obligations remain the customer's responsibility.
LEGAL TERMS
Disclaimers, Liability & Indemnification
Disclaimer of Warranties
You understand that IDS cannot guarantee that files available through the internet or Service will be free of viruses or destructive code. You are responsible for appropriate antivirus protection, data accuracy procedures, and external backups.
TO THE FULLEST EXTENT PROVIDED BY LAW, THE SERVICE, ITS CONTENT, AND SERVICES OR ITEMS OBTAINED THROUGH IT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. IDS DISCLAIMS WARRANTIES INCLUDING MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE, EXCEPT TO THE EXTENT SUCH WARRANTIES CANNOT BE EXCLUDED UNDER APPLICABLE LAW.
Limitation on Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IDS AND ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, AND DIRECTORS WILL NOT BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL, INDIRECT, EXEMPLARY, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO USE OF OR INABILITY TO USE THE SERVICE.
IDS's maximum liability for a claim arising from these Terms or the Service is limited to the amount of fees actually paid by you to IDS for the applicable Service during the 12 months immediately before the claim arose, or $100, whichever is less.
You are responsible for adequate protection and backup of data and equipment used with the Service. Limitations apply to the extent permitted by applicable law.
Release & Indemnification
To the maximum extent permitted by law, you release IDS, its affiliates, employees, contractors, officers, directors, agents, successors, and assigns from claims and damages arising from use of the Service.
You agree to defend, indemnify, and hold harmless IDS, its affiliates, licensors, service providers, and their respective personnel and agents from claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees arising from your violation of these Terms or unauthorized use of the Service, its content, services, products, or information.
Governing Law & Jurisdiction
All matters relating to the Service and these Terms, and any dispute or claim arising from or related to them, will be governed by and construed in accordance with the internal laws of the State of Arkansas, without giving effect to any choice-of-law or conflict-of-law provision or rule. Any legal suit, action, or proceeding arising out of or related to these Terms or the Service will be instituted in the United States District Court for the Eastern District of Arkansas or in a court of the State of Arkansas located in Craighead County, Arkansas, except where applicable law requires otherwise.
Time to File Claims
Any cause of action or claim arising out of or relating to these Terms or the Service must be commenced within one year after the cause of action accrues; otherwise, it is permanently barred, to the extent permitted by applicable law.
Force Majeure
IDS will not be responsible for failure or delay caused by circumstances beyond its reasonable control, including natural disasters, war, terrorism, epidemic or pandemic, civil unrest, government action, labor disruptions, supply shortages, power or telecommunications failures, or transportation disruptions.
Waiver & Severability
Failure by IDS to enforce a provision does not waive that provision or another right. If a provision is found invalid, illegal, or unenforceable, it will be limited or eliminated to the minimum extent necessary while the remaining provisions continue in effect.
Entire Agreement
These Terms, the Privacy Policy, and any applicable quote, proposal, invoice, proof approval, project agreement, or other written project-specific terms constitute the agreement between you and IDS for the applicable products or services. Project-specific written terms supplement these general Terms and control to the extent they expressly conflict with them.
COPYRIGHT
Copyright & DMCA Notices
IDS respects intellectual-property rights and expects customers to submit only material they own or are authorized to use. We may request documentation showing permission to reproduce protected material and may refuse or stop work when we reasonably believe a project infringes another party's rights.
If you believe material made available through an IDS-controlled website infringes your copyright, your notice should identify the copyrighted work, identify and locate the allegedly infringing material, provide your contact information, include a good-faith statement that the disputed use is unauthorized, include a statement under penalty of perjury that the information is accurate and that you are the copyright owner or authorized to act for the owner, and include an electronic or physical signature.
Copyright and DMCA reports should be directed to [email protected]. IDS may remove or disable access to material when appropriate and may terminate access for repeat infringement where applicable.
You may wish to consult an attorney before sending an infringement notification or counter-notification to understand your rights and obligations.
